Private Client Terms & Conditions
Last Update: May 2026
These Terms & Conditions exist to provide clarity and transparency for both of us. If you have any questions, please ask. In agreeing to working with Gill Caleary Coaching and paying your invoice you will have agreed to these T&C’s.
These Terms & Conditions apply to coaching, team coaching, facilitation, workshops, speaking engagements and related services provided by Gill Caleary Coaching, a trading name of Out Fox Commercial Ltd ("Gill", "we", "us" or "our").
Where services are provided under a separate proposal, contract, statement of work or corporate agreement, the terms of that agreement shall take precedence over these website Terms & Conditions.
By purchasing, booking or participating in any services, you agree to these Terms & Conditions.
If you disagree with any part of these terms and conditions, please do not use this website or enter into a contract.
Contracting:
Coaching Services
Coaching is a collaborative, thought-provoking and developmental process designed to support personal and professional growth.
Coaching is not therapy, counselling, psychiatric treatment, medical advice, legal advice or financial advice. Clients remain responsible for their own decisions, actions and outcomes throughout and following the coaching process.
Chemistry Conversations
Initial chemistry conversations are offered without obligation and are intended to establish mutual suitability and fit before entering into a coaching relationship.
Either party may decide not to proceed with coaching or consultancy services following a chemistry conversation.
Fees
The price is the price agreed at the Chemistry Session or on the website at the point of contracting, this applies to individual sessions, block bookings or consultancy work regardless of when sessions are used.
Price is subject to change at any time
Payments
A payment invoice will be sent to the client via email for the full amount, with payment details, for immediate payment or within the timescales stated in the invoice.
Please use the invoice number, first initial and surname as reference e.g. 10234BDavies.
Payment is made by the client in advance of the coaching session, or first session of the programme/block booking of sessions or consultancy unless otherwise expressly agreed in writing.
Coaching will not commence until payment is received. This could mean a booking is forfeited if payment is not made in advance or the scheduled appointment.
Payments are to be made by bank transfer, in sufficient time to be received prior to the scheduled booking.
Failure to make payment may result in coaching services being postponed or suspended until payment has been received.
Booking Sessions
Coaching sessions are arranged by mutual agreement.
Session length, frequency and format will be agreed between coach and client and may be adjusted by agreement.
Sessions may take place in person or online as agreed.
Cancellations & Rescheduling
Clients may reschedule coaching sessions by providing at least 48 hours' notice via email, WhatsApp message or text.
Sessions cancelled with less than 48 hours' notice, including non-attendance, will be treated as delivered and charged in full.
Exceptional circumstances may be considered at our discretion.
Should Gill need to reschedule a session, reasonable notice will be provided wherever possible.
Separate terms and conditions will apply to corporate work, consultancy, live and virtual events. These will be outlined as part of the quoting process.
Coaching Block Bookings Expiry
Coaching sessions purchased as part of a package remain valid indefinitely.
Unused sessions may be booked at any time, in agreement with Gill. If coaching fees have changed since the original purchase date, the current coaching fee will apply and any difference in fees will be payable before the session takes place.
Unused sessions are non-refundable under any circumstances.
Single booked sessions not attended will be considered cancelled, not able to be rescheduled or refunded.

Coaching conversations are confidential.
