This agreement sets out the basis upon which services will be provided by Gill Caleary Coaching, a trading name of Out Fox Commercial Limited ("Gill", "we", "us" or "our").
The purpose of this agreement is to create clarity and shared understanding for both parties.
Services
The scope of services, dates, deliverables, fees and any specific requirements will be detailed within the accompanying proposal, quotation, statement of work or written correspondence.
Services may be delivered as standalone engagements or as part of an integrated development programme and may include:
Executive Coaching
Leadership Coaching
Team Coaching
Facilitation
Workshops
Speaking Engagements
Away Days
Retreats
Leadership Development Programmes
Discovery Interviews
Group Coaching
By accepting a proposal, quotation or booking confirmation, the client agrees to the terms outlined below.
Fees & Payment
Fees will be agreed in advance.
Invoices are payable in accordance with the payment terms stated on the invoice unless otherwise agreed in writing.
Reasonable travel, accommodation, venue and other agreed expenses may be charged in addition to professional fees.
Late payment may result in services being postponed until payment has been received.
Client Responsibilities
The client agrees to provide information, access, facilities and support reasonably required to deliver the agreed services.
Where services involve employees, participants or teams, the client remains responsible for organisational decisions, communications and implementation arising from the work.
The client is responsible for ensuring participants understand the nature and purpose of the engagement.
Participation & Shared Responsibility
Coaching, facilitation, workshops and team development are collaborative processes.
The quality of outcomes depends upon the engagement, openness and participation of those involved.
Gill Caleary Coaching will provide professional challenge, support, facilitation and development.
Responsibility for decisions, actions, implementation and outcomes remains with the client and participants.
Whilst every effort is made to support meaningful outcomes, no guarantees are made regarding specific results.
Confidentiality
Both parties agree to keep confidential any information shared during the course of the engagement that would reasonably be considered confidential.
This obligation shall not apply where:
Disclosure is required by law;
There is a serious concern regarding the safety or wellbeing of an individual;
Information is already publicly available.
Where individual coaching is included within an organisational engagement, coaching conversations remain confidential between coach and participant, subject to legal and ethical obligations.
Where individual coaching forms part of a wider organisational programme, the content of coaching conversations remains confidential. Progress themes, attendance or high-level observations may be discussed with sponsors only where this has been agreed in advance with participants.
Any reporting to sponsors, line managers, HR teams or organisational stakeholders will be discussed and agreed in advance.
Professional Standards
Gill Caleary Coaching operates in accordance with recognised professional coaching standards and ethical guidelines.
Gill is an EMCC Senior Practitioner Coach and engages in ongoing professional supervision and continuing professional development.
Recording, Photography & Use of Materials
No recording, filming, transcription, distribution or reproduction of sessions may take place without prior agreement.
Where recording is agreed, permission will be limited to the specific purpose agreed at the time.
Unless otherwise agreed in writing:
Recordings may be used for internal organisational purposes only.
Recordings may not be sold, distributed externally or used for commercial purposes.
Recordings may not be edited, repackaged or republished without written permission.
Photographs, testimonials or excerpts from participant feedback will only be used by Gill Caleary Coaching for marketing purposes with explicit permission.
Artificial Intelligence & Meeting Assistants
The use of AI-powered meeting assistants, transcription tools or recording software should be disclosed and agreed in advance.
Participants remain responsible for how recordings, transcripts, summaries and AI-generated outputs are stored, shared and used.
Gill Caleary Coaching accepts no responsibility for information processed through third-party AI platforms or software used by the client.
Intellectual Property
All materials, frameworks, models, presentations, exercises, resources, handouts and content provided by Gill Caleary Coaching remain the intellectual property of Gill Caleary Coaching unless otherwise agreed in writing.
Materials are provided for the client's internal use only and may not be reproduced, distributed, licensed, published, adapted or sold without prior written permission.
Additional Scope & Bespoke Design
Proposals include the preparation, design and delivery activities outlined within the agreed scope of work.
Should the client request significant additional design, preparation, facilitation, coaching or consultation beyond the agreed scope, additional fees may apply. Any such fees will be discussed and agreed in advance.
Cancellation & Postponement
Dates are reserved exclusively for the client once confirmed.
Should the client need to postpone or cancel an engagement, the following fees may apply:
More than 60 days' notice: No cancellation fee.
Between 30 and 60 days' notice: 50% of the agreed fee payable.
Less than 30 days' notice: 100% of the agreed fee payable.
Where possible, alternative dates may be agreed by mutual consent.
Any non-recoverable expenses already incurred, including travel, accommodation, venue or preparation costs, will remain payable.
Individual Coaching Sessions Within Corporate Engagements
Some engagements may include individual coaching sessions as part of a wider programme, workshop, team coaching assignment or leadership development initiative.
Unless otherwise agreed in writing, individual coaching sessions arranged with participants are subject to the following:
Coaching sessions may be rescheduled with a minimum of 48 hours' notice.
Sessions cancelled with less than 48 hours' notice, including non-attendance, will be treated as delivered.
Where a participant fails to attend a scheduled session without notice, the session will be forfeited.
Rescheduled sessions remain subject to reasonable availability.
Where coaching sessions form part of a contracted programme, cancelled or missed sessions are not refundable and cannot be exchanged for alternative services.
Exceptional circumstances may be considered at Gill's discretion.
Force Majeure
Neither party shall be liable for delays or failure to perform obligations arising from circumstances beyond reasonable control, including but not limited to:
Illness
Severe weather
Travel disruption
Technical failure
Internet outages
Government restrictions
National emergencies
Other unforeseen events
Where possible, both parties will work together to reschedule services.
Limitation of Liability
Nothing in this agreement excludes liability where it would be unlawful to do so.
To the fullest extent permitted by law, liability arising from the engagement shall be limited to the fees paid for the relevant services.
The client remains responsible for decisions, actions and outcomes arising from participation in coaching, facilitation, workshops, leadership development or speaking engagements.
Governing Law
This agreement shall be governed by the laws of England and Wales.
Any disputes arising from this agreement shall be subject to the jurisdiction of the courts of England and Wales.
